These Terms and Conditions of Use ("Terms") govern your access to and use of PantryAtlas, including the website at pantryatlas.com, the web application, and the PantryAtlas mobile apps for Android and iOS (together, the "Service"). The Service is provided by Niconnect IT Solutions ("PantryAtlas", "we", "us" or "our").
By creating an account, accepting an invitation to join a business, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you confirm that you are authorised to bind that business to these Terms. If you do not agree, do not use the Service.
1. Who May Use PantryAtlas
- PantryAtlas is a business tool for restaurants, cafes, kitchens and other hospitality operators. You must be at least 18 years old (or the age of majority where you live) to use it.
- You must give accurate information when you register and keep it up to date.
- You must not use the Service if you are barred from doing so under applicable law.
2. Accounts, Businesses and Teams
- Your account: You are responsible for keeping your login details secure and for all activity under your account. Tell us promptly at [email protected] if you suspect unauthorised access.
- Business owners: The person who creates a business (an "establishment") in PantryAtlas is its owner. The owner controls who is invited, which roles and permissions each member has, and which sections and locations they can access, and is responsible for their team's use of the Service.
- Team members: If you join a business by invitation, the owner and the administrators of that business can see and manage the data you enter for it, change your role, or remove you. Your access to that business ends when you are removed.
- Business data belongs to the business: Inventory, purchase orders, suppliers, expenses, stocktakes and other records entered for a business are that business's data, even if a team member entered them.
3. Plans, Subscriptions and Payments
- Free plan: The free plan includes core inventory features for the business owner and up to three team members. We may change what the free plan includes, with reasonable notice.
- Pro plan: PantryAtlas Pro is a paid subscription held by the business owner. It unlocks additional features (such as stocktakes, waste tracking, financial reports and unlimited team members) for every business that owner runs.
- Billing: Subscriptions are billed in advance, monthly or yearly, through the store you buy from: Stripe on the web, Google Play on Android, or the Apple App Store on iOS. Prices are shown before you buy and include any taxes the store is required to collect.
- Automatic renewal: Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the renewal date. You can cancel at any time from Manage Subscription on the web or from your Google Play or App Store account settings. Cancelling stops future renewals; you keep Pro until the end of the period you have paid for.
- Refunds: Payments are non-refundable except where required by law or by the refund policy of the store you purchased through. Refunds for mobile purchases are handled by Google or Apple under their own policies.
- Price changes: We may change subscription prices. A new price applies from your next renewal after we or the store notify you, and you can cancel before it takes effect.
4. Acceptable Use
You agree not to:
- use the Service for anything unlawful, fraudulent or misleading;
- access, or try to access, another business's data or any part of the Service you are not authorised to use;
- probe, scan or test the Service for vulnerabilities, or interfere with its security, performance or availability, except through a responsible disclosure to us;
- copy, resell, sublicense or reverse engineer the Service, or use automated means to scrape it;
- upload malware, or content that infringes someone else's rights or that is unlawful or offensive;
- use the purchase order email feature to send spam or messages unrelated to genuine orders.
5. Your Content
- You keep ownership of the data, images and other content you put into the Service ("Your Content").
- You give us a non-exclusive licence to host, store, process, back up and display Your Content only as needed to provide, secure and support the Service for you.
- When you send a purchase order to a supplier, you authorise us to email it to the address you entered on your behalf.
- You are responsible for Your Content, including its accuracy and your right to upload it.
6. Our Service and Intellectual Property
The Service, including its software, design, logos and the PantryAtlas name, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service under these Terms. All rights not expressly granted are reserved.
7. Food Safety and Business Decisions
PantryAtlas helps you record and organise information such as expiry dates, stock levels, par levels, costs and reports. It is a record-keeping aid, not a food safety, accounting, tax or legal advisor. The figures it shows depend on the data you and your team enter. You remain responsible for food safety, product quality, compliance with health and hygiene regulations, and the business, ordering and financial decisions you make.
8. Availability and Changes
- We aim to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance, and the Service may be affected by events outside our control.
- We may add, change or remove features. If we remove a paid feature you rely on, we will tell you in advance where reasonably possible.
- Some features depend on third-party services (such as hosting, email delivery, payment processing and the app stores). Their availability is outside our control.
9. Suspension and Termination
- You can stop using the Service at any time and delete your account from the app or at pantryatlas.com/account/delete. Deleting your account does not cancel an App Store or Google Play subscription; cancel it with the store as well.
- We may suspend or terminate your access if you seriously or repeatedly breach these Terms, if required by law, or to protect the Service or other users. Where reasonable, we will give you notice first.
- When an account is deleted, we delete or anonymise the related personal data as described in our Privacy Policy. Business records owned by a business you were a member of may remain with that business.
10. Consumer Guarantees
Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by law (including the Australian Consumer Law) that cannot lawfully be excluded or limited ("Non-Excludable Rights"). Where we are allowed to limit our liability for a breach of a Non-Excludable Right, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
11. Disclaimer
Subject to your Non-Excludable Rights, the Service is provided "as is" and "as available". To the extent permitted by law, we exclude all other warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement.
12. Limitation of Liability
To the extent permitted by law and subject to your Non-Excludable Rights:
- we are not liable for any indirect or consequential loss, or for loss of profits, revenue, stock, data or goodwill, arising from your use of or inability to use the Service; and
- our total liability to you for all claims relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or AUD 100 if you have not paid us anything.
13. Indemnity
To the extent permitted by law, you agree to indemnify us against claims, losses and costs arising from your breach of these Terms, Your Content, or your misuse of the Service, except to the extent caused by our own breach or negligence.
14. App Store and Google Play
If you download a PantryAtlas mobile app from the Apple App Store or Google Play:
- these Terms are between you and us, not Apple or Google, and we, not Apple or Google, are responsible for the app and its content;
- your use of the app must also comply with the store's terms of service;
- Apple and Google have no obligation to provide maintenance or support for the app;
- if the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the app; to the extent permitted by law, Apple has no other warranty obligation regarding the app;
- Apple is not responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, consumer protection claims, or intellectual property infringement claims;
- you confirm that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
15. Changes to These Terms
We may update these Terms from time to time. We will show the date of the latest version at the top of this page and, for material changes, notify account holders by email or in the app before the changes take effect. If you keep using the Service after the changes take effect, you accept the updated Terms. If you do not agree, stop using the Service and cancel any subscription.
16. Governing Law
These Terms are governed by the laws of Western Australia, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Western Australia and the courts that can hear appeals from them. If you are a consumer living elsewhere, you also keep any protections given to you by the mandatory laws of your country.
17. General
- If any part of these Terms is found to be unenforceable, the rest remains in effect.
- If we do not enforce a right straight away, we have not waived it.
- You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor of the Service, and we will tell you if we do.
- These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service.
